These Terms & Conditions ("Terms") govern access to and use of https://sourcx.ai and all services, tools, and platforms operated by Sourcx.

By accessing or using Sourcx, you agree to be bound by these Terms.

1. Nature of the Platform

Sourcx is an AI-driven outsourcing, evaluation, comparison, onboarding, and managed services platform.

The platform uses a combination of:

  • Automated and AI-assisted systems
  • Human review and operational oversight

to help businesses discover, evaluate, onboard, and engage service providers across multiple business domains.

2. Engagement Models (Principal & Agent)

Sourcx may operate under one or more engagement models, depending on the service:

a) Managed Services / Principal Model (Primary)

In most engagements:

  • The Client contracts directly with Sourcx
  • Payments are made to Sourcx
  • Sourcx delivers services through partner agencies or vendors
  • Sourcx is responsible for onboarding, coordination, delivery oversight, and post-sales support

Commercial terms, scope, timelines, and deliverables are governed by a separate agreement or Statement of Work (SoW) executed with the Client.

b) Agent / Facilitation Model (Secondary)

In some cases:

  • Sourcx facilitates discovery, AI-based evaluation, matching, and onboarding
  • Contracts may be executed directly between Client and Service Provider
  • Sourcx may still participate in coordination and support

The applicable model will be determined by Sourcx and communicated prior to engagement.

3. AI-Driven Evaluation, Matchmaking & Comparison

Sourcx uses AI-powered and automated systems to:

  • Analyze Client requirements
  • Evaluate Service Provider capabilities
  • Generate matches, rankings, comparisons, and recommendations
  • Assist onboarding and engagement decisions

Inputs may include:

  • User-submitted information
  • Publicly available business data
  • Platform interaction data
  • Historical performance signals

Important Disclaimers

  • •AI outputs are decision-support tools, not guarantees
  • •Sourcx does not warrant outcomes based on rankings or recommendations
  • •Final engagement decisions rest with Sourcx (managed services) or the Client
  • •AI models and evaluation criteria may change over time

4. KYSP Pages & Platform Content

Sourcx displays Service Provider information on Know Your Service Provider (KYSP) pages and comparison views.

Information may include:

  • Publicly available data
  • Service Provider-submitted information
  • Platform-generated insights

Sourcx does not guarantee the accuracy, completeness, or timeliness of third-party or public information and encourages independent verification.

5. Platform Authority & Communication

Users agree that Sourcx may:

  • Facilitate, monitor, participate in, or manage communications
  • Coordinate onboarding, execution, and delivery
  • Intervene for quality control, dispute resolution, or compliance

Such involvement does not create employment, partnership, or joint-venture relationships.

6. Service Providers – Special Obligations

Service Providers acknowledge that:

  • They are independent contractors
  • Visibility, ranking, or selection is not guaranteed
  • Clients introduced via Sourcx are Sourcx-originated relationships
  • Client information may be used only for Sourcx-approved engagements
  • Service Providers waive claims arising solely from AI-based evaluation, ranking, or comparison outcomes

7. Non-Circumvention & Bypassing (STRICT)

7.1 Absolute Restriction

For any Client introduced by Sourcx:

Service Providers shall not, without prior written consent:

  • ▸Contract directly with the Client
  • ▸Accept payments outside Sourcx-approved channels
  • ▸Deliver services without Sourcx involvement
  • ▸Use affiliates or intermediaries to bypass Sourcx

This restriction applies:

  • ▸During the engagement
  • ▸For 12 months after the last interaction
  • ▸Across all services and geographies

7.2 Objective Definition (No Intent Required)

Circumvention is deemed to have occurred if:

  • ▸Payment is received outside Sourcx
  • ▸A direct contract is executed without consent
  • ▸Services are delivered without Sourcx oversight
  • ▸Communication is shifted to avoid platform visibility

Intent is not required to establish breach.

7.3 Consequences

Breach may result in:

  • ▸Immediate termination
  • ▸Withholding of payments
  • ▸Recovery of fees or damages
  • ▸Legal enforcement

Sourcx's determination shall be final, subject to applicable law.

8. Fees & Payments

  • Commercial terms are governed by separate agreements or SoWs
  • In managed services, payments are made to Sourcx
  • Sourcx may withhold payments in case of breach or dispute

9. Intellectual Property

  • Platform software, AI systems, data models, and methodologies remain Sourcx property
  • Service-related IP is governed by the applicable SoW or agreement

10. Limitation of Liability

To the maximum extent permitted by law:

  • Sourcx shall not be liable for indirect or consequential damages
  • Liability is limited to fees paid to Sourcx for the relevant engagement

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Courts in Bangalore, Karnataka shall have exclusive jurisdiction.
